Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, products, and services provided by Scraft AI, Inc., doing business as Serve (“Serve,” “we,” “us,” or “our”), including the getserve.ai website and any related applications, AI agents, and features (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

Serve provides AI-powered analytics and automation for consumer packaged goods brands, including trade promotion scoring, trade deduction recovery, retail intelligence, customer support, and supply chain tooling. We may add, modify, or remove features at any time. We may also establish limits on use of the Services and reserve the right to change, suspend, or discontinue any part of the Services with or without notice.

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old and legally able to enter into these Terms.

You retain all rights to the data, content, and materials you submit to the Services (“Customer Data”). You grant us a limited, non-exclusive license to host, process, and use Customer Data solely to provide and improve the Services, and as otherwise permitted under our Privacy Policy. You are responsible for ensuring you have the rights and permissions necessary to provide Customer Data to us.

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except as permitted by law.
• Upload malicious code, interfere with the integrity or performance of the Services, or attempt to gain unauthorized access.
• Resell, sublicense, or use the Services to build a competing product without our prior written consent.
• Submit data you do not have the right to share, or that infringes the rights of any third party.

The Services, including all software, models, designs, text, and other materials (excluding Customer Data), are owned by Serve or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. All rights not expressly granted are reserved.

Paid features of the Services are billed according to the plan or order you select. Unless otherwise stated, fees are non-refundable and exclusive of applicable taxes. We may change our fees on a prospective basis with reasonable notice. Failure to pay may result in suspension or termination of your access.

Each party may have access to the other’s confidential information. Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own, and to use it only as necessary to perform under these Terms.

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs, scores, and recommendations are provided for informational purposes and may be incomplete or inaccurate; you are responsible for independently verifying any output before relying on it for business decisions.

To the maximum extent permitted by law, Serve and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of these Terms will not exceed the amounts you paid to us for the Services in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Serve and its affiliates from any claims, damages, liabilities, and expenses arising out of your Customer Data, your use of the Services, or your violation of these Terms.

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Services. Upon termination, your right to use the Services ends, but provisions that by their nature should survive will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate, such as by posting the updated Terms with a new “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Delaware, unless otherwise required by applicable law.
